These Website Terms of Use (the "Website Terms") govern your access to and use of the website located at www.boosteam.ai and its subdomains (collectively, the "Website"), which is operated by Agenteam AI Ltd. dba Boosteam ("Boosteam", "we", "us", or "our").

If you create an account, start a free trial, purchase a subscription, or access Boosteam's hosted platform or related services, your use of those services is governed by the separate Boosteam Platform Terms and Subscription Agreement (the "Platform Terms").

By accessing or using the Website, you agree to be bound by these Website Terms and our Privacy Policy. If you do not agree, you must not access or use the Website.

WITHOUT LIMITING THE FOREGOING, BOOSTEAM DOES NOT WARRANT THAT THE WEBSITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT WEBSITE MATERIALS WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOSTEAM'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE WEBSITE TERMS, THE WEBSITE, OR WEBSITE MATERIALS WILL NOT EXCEED FIFTY U.S. DOLLARS (US$50).

NOTHING IN THESE WEBSITE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT SUCH LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Boosteam, its affiliates, and their respective officers, directors, employees, agents, licensors, suppliers, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

2. your unlawful use of the Website; or
3. your infringement, misappropriation, or violation of any third-party right.

This Section does not apply to Consumers to the extent prohibited by applicable law.

12. Governing Law and Jurisdiction

If you are accessing or using the Website on behalf of a business, or if you are not a Consumer, these Website Terms and any dispute arising out of or relating to them are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. The state and federal courts located in New Castle County, Delaware will have exclusive jurisdiction over any such dispute.

If you are a Consumer, this Section applies only to the extent permitted by the mandatory laws of your country, state, or place of habitual residence. Nothing in these Website Terms is intended to deprive you of non-waivable consumer rights or protections available under applicable law.

If any provision of these Website Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Boosteam's failure to enforce any provision of these Website Terms will not constitute a waiver of that provision or any other provision.

You may not assign or transfer these Website Terms or any of your rights or obligations under them without Boosteam's prior written consent. Boosteam may assign or transfer these Website Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

These Website Terms, together with the Privacy Policy, constitute the entire agreement between you and Boosteam concerning your use of the Website.
